Terms of Service

Red Sea Trading Co. LLC

Effective date: October 22, 2026
Last updated: October 22, 2026

These Terms of Service ("Terms") apply when you use our website at https://www.redseatrading.company/, buy a plan or service from us, pay one of our invoices, or check out through Stripe. Please read them. They are written to be clear, and they are binding.

1. About These Terms

1.1. "RSTC," "we," "us" and "our" mean Red Sea Trading Co. LLC. "You," "your" and "client" mean the person or business that uses our website or buys our services. If you accept these Terms for a business, you confirm that you have authority to bind that business.

1.2. You accept these Terms when you sign a proposal or agreement with us, pay an invoice, complete a Stripe Checkout, or use our website or software.

1.3. Your signed proposal or service agreement sets out your plan, price, schedule and deliverables. These Terms apply to every engagement. If a signed proposal or agreement conflicts with these Terms, the signed document controls for that engagement.

1.4. If you do not agree to these Terms, do not use our website or buy our services.

2. Who We Are

Red Sea Trading Co. LLC is a veteran-owned federal market entry and government-contracting consulting firm based in South Carolina.

  • Managing Partner: Adam Blandford
  • Address: 2007 Boeing Ave, Charleston, SC 29407
  • Phone: (854) 444-9830
  • Email: office@redseatrading.company

3. Our Services

3.1. We help businesses get ready for, find and bid on government work. We do this through fixed-price plans, per-bid support and our Gov Lead Feed software.

3.2. Foundation. Over 30 days, we:

  • Prepare and file your SAM.gov registration for you, including your Unique Entity ID (UEI), CAGE code, NAICS codes and required representations and certifications.
  • Give you a plain-English review of what you can sell to the government, and of any gaps in your licensing, insurance and bonding.
  • Check which set-aside programs you may be eligible for and what it takes to apply.
  • Write a one-page capability statement.

Foundation includes 3 meetings: kickoff, mid-point and wrap-up.

3.3. Accelerator. A 90-day plan. It includes everything in Foundation plus the additional deliverables listed in your proposal, including a Gov Lead Feed account and up to the number of bids stated in your proposal.

3.4. Enterprise. A 6-month plan. It includes everything in Foundation and Accelerator plus the additional deliverables listed in your proposal, including a custom CRM and up to the number of bids stated in your proposal.

3.5. Per-bid support. We take a single government opportunity from eligibility check to a complete, ready-to-send bid package. You can buy one bid or a pack of four.

3.6. Teaming. Some plans may include an introduction to a teaming partner for set-aside opportunities. Any teaming arrangement is a separate agreement between you and that partner. We do not guarantee that a teaming partner will agree to any specific opportunity.

3.7. The exact scope of each plan is the scope in your signed proposal or agreement. Work outside that scope is billed separately, and only with your written approval.

4. Plans and Pricing

4.1. Current prices:

  • Foundation: $8,000 over 30 days. Paid 50% when the agreement is signed, 25% at day 30 and 25% at day 60.
  • Accelerator: $15,000 over 90 days. Paid 50% when the agreement is signed, 25% at day 30 and 25% at day 60.
  • Enterprise: $32,000 over 6 months. Paid 50% when the agreement is signed, 25% at day 30 and 25% at day 60.
  • Per-bid support: $800 per bid, or $2,800 for a pack of four.

4.2. Payment schedule for each plan. Payments are tied to dates, not to milestones. Day 30 and day 60 are counted from the date the agreement is signed.

  • Foundation: $4,000 at signing; $2,000 at day 30; $2,000 at day 60.
  • Accelerator: $7,500 at signing; $3,750 at day 30; $3,750 at day 60.
  • Enterprise: $16,000 at signing; $8,000 at day 30; $8,000 at day 60.

Each later payment is invoiced so that it is due on day 30 and day 60 after signing. Work starts when the first payment clears.

4.3. Per-bid fees. Per-bid support is a flat fee paid in full when you order. The fee is not tied to winning. If you move up to any plan within 60 days of paying for per-bid support, we credit every dollar you paid for per-bid support toward that plan. A four-bid pack has no time limit. It ends once all 4 bids are used.

4.4. The prices in your signed proposal are the prices you pay for that engagement. We may change our published prices at any time. A change does not affect an engagement you have already signed.

5. Gov Lead Feed Subscription

5.1. The Gov Lead Feed is our software. It delivers government opportunities and award information that match your business. Plans that include it give you access during the plan.

5.2. Your access continues during the 6 months after your first plan ends. Monthly billing starts after that 6-month period, on a month-to-month basis. The price and notice are set out in Section 5.3.

5.3. The monthly price is set at the time the subscription starts. We will tell you the price in writing at least 30 days before your first monthly charge. You do not pay anything until you agree to the price.

5.4. The subscription renews automatically each month. It is billed through Stripe. You can cancel at any time before your next billing date by emailing office@redseatrading.company. Cancellation takes effect at the end of the current billing month. We do not refund partial months.

5.5. The Gov Lead Feed is licensed to you, not sold. See Section 14.

6. Payment Terms

6.1. Invoicing. Plan payments are due on fixed dates: 50% when the agreement is signed, 25% 30 days after signing and 25% 60 days after signing. We invoice each later payment so that it is due on its scheduled date.

6.2. Start of work. Work starts when your first payment clears.

6.3. Payment methods. We accept payment through Stripe by card, ACH, bank transfer, Apple Pay, Google Pay, Link and Klarna. Stripe processes payments for us. We do not store your full card or bank account numbers.

6.4. Klarna. Klarna financing is offered by Klarna, not by RSTC. Klarna decides whether to approve you and sets the credit terms. Klarna is solely responsible for its credit terms. Your credit terms and repayment obligations are between you and Klarna. When you finance a plan through Klarna, work begins once Klarna confirms your purchase.

6.5. Same price for every payment method. Your price is the same whatever payment method you choose. We do not add a surcharge or fee for paying by card, Klarna or any other method.

6.6. Authorization. When you pay, you confirm that you are authorized to use the payment method you choose.

7. Taxes

Our prices do not include taxes. You are responsible for any sales, use or similar taxes that apply to your purchase. If we are required to collect a tax, we will add it to your invoice.

8. Refunds and Cancellation

8.1. Deposits. Your first payment (deposit) is non-refundable once work has started.

8.2. Scheduled payments. Plan payments are tied to dates, not to milestones. Each payment is due on its scheduled date: at signing, at day 30 and at day 60 after signing.

8.3. Cancelling future payments. You may cancel by giving us written notice at office@redseatrading.company. Payments due on or before the date we receive your notice remain owed. You pay for the work done up to that date.

8.4. Per-bid support. Per-bid fees are paid in full when you order. A four-bid pack has no time limit. It ends once all 4 bids are used.

8.5. Klarna refunds. Any refund on a Klarna purchase is returned through Klarna. Klarna then adjusts your account under its terms.

8.6. Our right to end an engagement. We may end an engagement with written notice if you breach these Terms, do not pay, or ask us to do something we believe is inaccurate, misleading or unlawful. You pay for the work done up to that date.

9. Late Payment, Paused Work and Chargebacks

9.1. Paused work. If an invoice is unpaid past its due date, work pauses until it is paid. Deadlines and plan timelines extend by the length of the pause. We are not responsible for missed opportunities or deadlines during a pause.

9.2. Late fees. We charge a flat late fee of $30 for each late payment. We do not charge interest.

9.3. Collection costs. If we must take steps to collect an overdue amount, you agree to pay reasonable collection costs, to the extent allowed by law.

9.4. Chargebacks. If you have a billing problem, contact us first at office@redseatrading.company. We will work to fix it. Filing a chargeback or payment dispute for services that we performed or that you accepted is a breach of these Terms. If you file one, we may pause all work and access to the Gov Lead Feed until it is resolved. We may submit our records, including signed documents, invoices and communications, to the payment processor. You remain responsible for the amount owed and for any chargeback fees we incur.

10. Your Responsibilities

You agree to:

  • Give us complete, accurate and current information, including formation documents, EIN, licenses, certifications, insurance, bonding and past performance.
  • Respond to our requests on time. Delays on your side extend our timelines.
  • Name one decision-maker who attends scheduled meetings and can approve work.
  • Review every document before it is filed or submitted, and approve it in writing.
  • Keep your SAM.gov registration, login credentials and contact details current and secure.
  • Hold the licenses, insurance, bonding and certifications needed to do the work you bid on.
  • Make your own decisions about which opportunities to pursue and whether to sign any contract.
  • Comply with all laws that apply to you, including federal contracting rules.

You are responsible for the accuracy of everything you submit to the government, including information we help prepare from what you give us.

11. What We Do and Do Not Do

11.1. No guarantee of award. The government decides who wins each contract. We do not guarantee that you will win any bid, contract or award, or earn any amount of revenue. What we guarantee is that each deliverable we provide is complete and compliant with the stated requirements, based on the information you give us.

11.2. Not legal, tax or regulatory advice. We are consultants. We are not lawyers or accountants. RSTC does not practice law. Nothing we provide is legal, tax or regulatory advice. Talk to your own attorney, accountant or other qualified advisor about those matters.

11.3. Your decisions. Regulatory and eligibility decisions remain your responsibility. That includes decisions about size status, set-aside eligibility, licensing and compliance.

11.4. Licenses, certifications and bonding stay with you. Your business must hold any license, certification, insurance or bond required for the work. We do not hold them for you, and we do not lend ours.

11.5. Set-asides must be earned. Set-aside programs such as veteran-owned, service-disabled veteran-owned, 8(a), HUBZone and woman-owned require you to meet the program rules and, where required, be certified. We never misrepresent your eligibility, and we will not prepare or submit any bid that does. If you are not eligible, we may suggest lawful options such as teaming.

11.6. SAM.gov registration is free. Registration in SAM.gov is free from the U.S. government at SAM.gov. RSTC never charges for SAM.gov registration itself. Our fee is for the service of preparing and filing your registration and for the other work in your plan. You may register yourself at no cost at https://sam.gov.

11.7. Third-party information. Opportunity data, award data and contact information come from public and third-party sources. We work to keep them accurate, but we do not guarantee that they are complete, current or error-free.

12. Confidentiality

12.1. We keep your non-public business information confidential. We use it only to provide our services to you.

12.2. We may share your information only:

  • With government systems and agencies when you ask us to file or submit something for you.
  • With contractors and service providers who help us deliver our services and who are bound to keep it confidential.
  • With a teaming partner, only with your approval.
  • When the law requires it.

12.3. Confidentiality does not cover information that is public, that we already knew, or that we receive lawfully from someone else.

12.4. You agree to keep our non-public materials, pricing, methods and software confidential and to use them only for your own business.

13. Client Data

13.1. You own the data and documents you give us ("Client Data").

13.2. You give us permission to use Client Data only to provide our services to you, including filing registrations and preparing bids for you.

13.3. We protect Client Data with reasonable administrative, technical and physical safeguards. No system is perfectly secure.

13.4. When an engagement ends, you can ask us to return or delete your Client Data. We will do so within a reasonable time, except where we must keep records by law or for tax, accounting or dispute purposes.

13.5. Our Privacy Policy explains how we handle personal information. https://app.redseatrading.company/privacy-policy

14. Intellectual Property

14.1. Your documents. You keep ownership of your documents, including your capability statement, bid packages and other deliverables we prepare for you, once you have paid for them in full.

14.2. Your CRM. If your plan includes a custom CRM, the CRM is yours to keep after you have paid for the plan in full. After the plan ends, any third-party CRM platform fees are your cost.

14.3. Gov Lead Feed. The Gov Lead Feed software is licensed, not sold. We give you a limited, non-exclusive, non-transferable license to use it for your own business while your plan or subscription is active. You may not copy, resell, share logins, reverse engineer, scrape or build a competing product from it. We keep all rights in the software and its data.

14.4. Our materials. We keep ownership of our templates, methods, tools, know-how and website content. Where these are built into your deliverables, you may use them for your own business.

15. Use of Our Website

You may use our website for lawful purposes. You may not interfere with it, attempt unauthorized access, or copy or republish its content without our written permission. Website content is general information, not advice for your situation.

16. Disclaimer of Warranties

Except for the promise in Section 11.1, our website, software and services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

17. Limitation of Liability

17.1. To the fullest extent allowed by law, our total liability for any claim arising from these Terms or our services is limited to the fees you paid us in the 12 months before the claim.

17.2. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost contracts or lost opportunities, even if we were told they were possible.

17.3. These limits do not apply where the law does not allow them.

18. Indemnity

You agree to defend, indemnify and hold harmless RSTC and its members, managers, employees and contractors from claims, losses and costs, including reasonable attorneys' fees, that arise from:

  • Inaccurate or incomplete information you give us.
  • Your breach of these Terms.
  • Your violation of any law or regulation, including federal contracting rules.
  • Your performance of any contract you win.

19. Electronic Communications and Signatures

19.1. You agree that we may communicate with you by email, text message, phone and through our software. Notices sent by email to the address you gave us count as written notice.

19.2. You agree that electronic signatures, click-through acceptance and electronic records have the same effect as signed paper documents, as permitted by the federal E-SIGN Act and the South Carolina Uniform Electronic Transactions Act.

19.3. Notices to us must be sent to office@redseatrading.company.

20. Dispute Resolution

20.1. Good-faith negotiation first. If a dispute arises, the party raising it will send written notice describing the issue. Both parties will try in good faith to resolve it for at least 30 days before starting any formal proceeding.

20.2. Courts. If the dispute is not resolved, either party may bring it in the state or federal courts located in Charleston County, South Carolina. Both parties consent to the jurisdiction of those courts.

20.3. No arbitration. Disputes are not subject to arbitration. They are resolved only in the state or federal courts located in Charleston County, South Carolina.

21. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules.

22. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date. Changes apply to purchases made after the update. They do not change the terms of an engagement you have already signed unless you agree in writing.

23. General Terms

  • Entire agreement. These Terms and your signed proposal or agreement are the entire agreement between us about our services.
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a term, we do not give up the right to enforce it later.
  • Assignment. You may not transfer your rights under these Terms without our written consent. We may assign them in connection with a merger, sale or reorganization.
  • Independent contractor. We are an independent contractor. Nothing in these Terms creates a partnership, joint venture or employment relationship.
  • Events beyond our control. We are not responsible for delays caused by events outside our reasonable control, including government system outages, SAM.gov processing delays, government shutdowns and changes in law.
  • Survival. Sections on payment, confidentiality, client data, intellectual property, limitation of liability, indemnity and dispute resolution survive the end of any engagement.
